Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and StrataSpend regarding your access to and use of our cloud cost intelligence platform, website, and related services. By creating an account, accessing our platform, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not accept this agreement and may not use our services.

Service Description and Modifications

StrataSpend provides a cloud cost intelligence platform that analyzes infrastructure spending, identifies optimization opportunities, detects usage anomalies, and generates recommendations to reduce costs while maintaining service reliability. Our platform integrates with cloud providers and SaaS vendors to collect usage data and provide actionable insights.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of the service without liability. We will make reasonable efforts to notify you of material changes that adversely affect your use of the platform.

Account Registration and Security

To access our services, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to immediately notify us of any unauthorized access or security breach. We are not liable for any loss or damage arising from your failure to protect your account credentials. You may not share your account with others, transfer your account to another party, or use another person's account without authorization.

We reserve the right to refuse registration, suspend accounts, or terminate access for any reason, including violation of these Terms, fraudulent activity, or behavior that we reasonably believe is harmful to our services or other users.

Subscription Plans and Billing

Our services are offered through various subscription plans with different features and pricing. By subscribing to a plan, you agree to pay all applicable fees as described on our pricing page. Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan.

In addition to subscription fees, our business model includes a performance fee based on verified savings achieved through our platform. This fee structure is clearly communicated during the subscription process and documented in your service agreement.

All fees are non-refundable except as required by law or as explicitly stated in these Terms. We reserve the right to change our pricing with at least 30 days' notice. Price changes will not affect your current billing cycle but will apply upon renewal.

If payment fails or your account is past due, we may suspend or terminate your access to the services. You are responsible for all charges incurred under your account, including applicable taxes.

Platform Integrations and Data Access

To provide our services, you must grant us access to your cloud and SaaS platforms through API integrations or similar methods. You represent and warrant that you have the authority to provide such access and that your use of our services complies with the terms of service of your cloud and SaaS providers.

We will access only the data necessary to deliver our services, as specified in your integration configuration. You retain all ownership rights to your data. We will not use your infrastructure data for purposes other than providing services to you, except in aggregated and anonymized form.

Acceptable Use and Restrictions

You agree to use our services only for lawful purposes and in accordance with these Terms. You shall not:

• Use our services in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of our services
• Reverse engineer, decompile, or attempt to extract source code from our platform
• Use automated systems to scrape or collect data from our services
• Upload malicious code, viruses, or any harmful content
• Impersonate another person or entity
• Resell or redistribute our services without authorization

Intellectual Property Rights

All content, features, functionality, software, algorithms, and materials available through our services are owned by StrataSpend or our licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for your internal business purposes. This license does not include any right to copy, modify, distribute, sell, or create derivative works from our services.

Any feedback, suggestions, or ideas you provide regarding our services become our property, and we may use them without obligation or compensation to you.

Service Availability and Performance

While we strive to provide reliable and continuous service, we do not guarantee that our platform will be available at all times or that it will be error-free. Scheduled maintenance, updates, or unforeseen technical issues may cause temporary interruptions.

We are not responsible for delays or failures in service delivery caused by circumstances beyond our reasonable control, including internet connectivity issues, cloud provider outages, or force majeure events.

Recommendations and Disclaimers

Our platform provides cost optimization recommendations based on analysis of your infrastructure and usage patterns. These recommendations are for informational purposes only and do not constitute financial, legal, or professional advice.

You are solely responsible for evaluating our recommendations and determining whether to implement them. We are not liable for any consequences resulting from your decisions to accept or reject recommendations, including service disruptions, data loss, or financial impacts.

Savings estimates are projections based on historical data and current configurations. Actual savings may vary. Our services are provided "as is" without warranties of any kind, whether express or implied.

Limitation of Liability

To the maximum extent permitted by law, StrataSpend and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use or inability to use our services.

Our total liability for all claims arising from or related to these Terms or our services shall not exceed the amount you paid us in the twelve months preceding the event giving rise to liability.

Some jurisdictions do not allow limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless StrataSpend and its affiliates from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of our services, violation of these Terms, infringement of third-party rights, or any actions taken based on our recommendations.

Term and Termination

These Terms remain in effect while you use our services. Either party may terminate this agreement at any time. You may cancel your subscription through your account settings or by contacting our support team.

We may suspend or terminate your access immediately, without notice, for violation of these Terms, non-payment, or any conduct we reasonably believe is harmful to our business or other users.

Upon termination, your right to access our services ceases immediately. We will retain your data for a reasonable period to facilitate potential reactivation, after which it will be deleted or anonymized in accordance with our Privacy Policy.

Dispute Resolution and Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from these Terms or our services shall be resolved through binding arbitration in Leicester, United Kingdom, except where prohibited by law.

You agree to waive any right to a jury trial or to participate in a class action. If arbitration is not enforceable, disputes shall be resolved exclusively in the courts of England and Wales.

Changes to These Terms

We may modify these Terms at any time by posting the updated version on our website and updating the effective date. Material changes will be communicated via email or through our platform. Your continued use of our services after changes become effective constitutes acceptance of the modified Terms.
